Merchant Terms

These terms apply to Shopify businesses that connect to the public, open, and free Loomca beta.

1. Eligibility and authority

A participating Merchant must be a current Shopify business. The person connecting it must have legal capacity to accept these terms or act through the representation required by applicable law, and must have sufficient authorization to represent the Merchant and configure its Merchant Connection.

Eligibility alone does not make a Merchant active. An Active Merchant must pass Merchant Activation Verification and maintain at least one verified Purchase Route capable of creating checkout.

2. Free public beta

Participation in this version is free and creates no future purchase commitment. A future commercial model would require prior communication and a new Merchant decision; charges cannot be applied retroactively. The beta does not promise sales, order volume, placement, uninterrupted availability, or permanent features.

3. Limited authorization

The Merchant authorizes Loomca, only as needed to operate this beta, to connect the authorized Shopify account, synchronize eligible catalog information, verify capabilities, present eligible products to Agents, and create Checkout Sessions only after Approved Authority for the relevant selection.

The selected Purchase Route remains fixed for a technical cart. Loomca does not silently switch to another route if it fails.

4. Merchant responsibilities

  • Keep product descriptions, prices, variants, availability, taxes, delivery information, commercial policies, and credentials accurate and current.
  • Maintain the Shopify checkout and comply with the obligations that apply to the Merchant's products and Buyer Users.
  • Handle checkout, collection, order fulfillment, delivery, withdrawal rights, changes, returns, warranties, and refunds.
  • Notify Loomca when authority, ownership, credentials, or relevant Merchant information changes.
  • Avoid unlawful products, misleading information, fraud, and unauthorized use of Buyer User data.

5. Credentials and security

Credentials and secrets are provided only through the protected Loomca connection surface and are scoped to the relevant Merchant Connection. Do not send passwords, access tokens, Shopify secrets, or payment data by email. The Merchant must revoke or rotate credentials when compromise is suspected.

Loomca may degrade or suspend an affected capability or Purchase Route when verification fails, credentials become invalid, security is at risk, fraud is suspected, these terms are breached, or a capability can no longer be truthfully supported.

6. Catalog, brand, and checkout

The Merchant retains responsibility for and rights in its catalog, brand, and product content. It grants Loomca a limited permission to use that content only to verify and operate assisted discovery, Approval Links, checkout handoff, and related traceability during the Merchant's participation.

The Merchant is the seller and operates its checkout. It confirms the final price, tax, delivery, availability, and other conditions there. Approval or redirect is not a Confirmed Order.

7. Privacy and confidentiality

Each party must protect confidential information and use personal data only for authorized and lawful purposes. The exact data-treatment roles and whether a separate Data Processing Addendum is required remain pending legal review. No Data Processing Addendum is represented as existing under this version.

8. Closure and evidence

A Merchant may request Merchant Closure through anlijudavid+support@protonmail.com. Closure revokes and destroys credentials and sensitive connection configuration. Loomca may retain limited, non-secret material evidence for Approval Links, checkout outcomes, security, traceability, and applicable legal obligations. Historical events are not recomputed from current Merchant state.

9. Support and changes

The only support channel is anlijudavid+support@protonmail.com. Material changes will be communicated before they apply when required. Rights and duties that cannot legally be waived remain unaffected.
